You may use our website and services only if you are legally capable of entering into a binding agreement under the laws applicable to you. If you use our services on behalf of a company, partnership, or other organisation, you confirm that you have the authority to represent that organisation and accept these terms on its behalf.

  • Call centre, telemarketing, customer support, and business process outsourcing.
  • Technical consultation, automation, integration, and other IT-related services.
The precise scope of any engagement will depend on the service purchased, the proposal provided, the agreed deliverables, and any written agreement between DWC and the client. We reserve the right to introduce, modify, discontinue, or update our service offerings, subject to applicable contractual obligations.

4. Service Enquiries and Orders

Information displayed on our website is intended to describe our services and does not necessarily constitute a binding offer. A service engagement may begin through an online purchase, payment link, written proposal, quotation, invoice, email confirmation, or another mutually accepted arrangement. Before making a payment, you should review the applicable service description, deliverables, price, payment terms, estimated timeline, and any special conditions communicated to you.
Where a proposal or signed agreement contains specific terms that conflict with these general Terms of Use, the specific terms of that proposal or agreement will govern the relevant engagement to the extent permitted by law. We may request additional information or clarification before accepting or commencing an order.

5. Pricing and Payments

Service prices will be communicated through our website, quotations, proposals, invoices, or other written communications. Unless expressly stated otherwise, quoted prices do not automatically include additional services, third-party subscriptions, paid advertising budgets, domain renewals, hosting renewals, premium software licences, taxes, or other charges outside the agreed scope. Payments may be processed through authorised payment service providers or other payment methods communicated by DWC.

By initiating a payment, you confirm that:

  • You are authorised to use the selected payment method.
  • The information provided during checkout is accurate.
  • You intend to purchase the specified service.
  • You understand the applicable pricing and payment conditions.
A payment confirmation does not, by itself, change the agreed service scope or guarantee a particular business outcome. Where applicable, taxes will be charged in accordance with the relevant laws. International clients are responsible for any taxes, duties, bank charges, or currency conversion costs that legally apply to them. We do not intentionally collect or store complete payment card details through ordinary website forms.
Payment processing may be handled by third-party payment providers under their respective terms and security procedures.

6. Project Scope and Client Responsibilities

Successful delivery of our services may require the client's cooperation. Depending on the project, you may be required to provide:
  • Business information, branding materials, text, images, and other content.
  • Access to existing websites, hosting accounts, domain registrars, or relevant platforms.
  • Administrative permissions and technical credentials through appropriate secure channels.
  • Feedback, approvals, and decisions within agreed timeframes.
  • Accurate information regarding your business, products, services, and intended audience.
You confirm that you own, or have the necessary rights and permissions to use, the materials supplied to us. DWC is not responsible for delays caused by incomplete information, delayed approvals, unavailable client personnel, third-party restrictions, or other circumstances outside our reasonable control. Where a delay affects project delivery, the timeline may be adjusted reasonably to reflect the circumstances.
Any material change to the agreed scope may require a revised quotation, additional payment, or an updated delivery schedule.

7. Revisions, Approvals, and Delivery

Project timelines, revision limits, milestone payments, and acceptance procedures will be determined by the applicable proposal or written agreement. Where no specific revision policy has been agreed, reasonable revisions may be discussed in good faith, taking into account the original scope and the nature of the requested changes. Requests that materially change the original design, functionality, content, or technical requirements may be treated as additional work.
The client is responsible for reviewing deliverables and identifying any material discrepancies against the agreed specifications. Delivery dates are estimates unless a binding deadline has been expressly agreed in writing.

8. Digital Marketing and SEO Disclaimer

Digital marketing and SEO results depend on various factors, including competition, website condition, advertising budgets, audience behaviour, platform policies, search engine algorithms, market conditions, and the quality of available data. Although DWC may implement strategies intended to improve visibility, traffic, enquiries, conversions, or other performance indicators, we do not guarantee:
  • Specific search engine rankings.
  • A fixed number of leads, sales, enquiries, or conversions.
  • A particular advertising return on investment.
  • Approval of advertising campaigns by third-party platforms.
  • Continued rankings or uninterrupted access to third-party platforms.
Any performance targets or guarantees expressly agreed in a separate written contract will be governed by that agreement. Advertising spend and third-party platform charges are separate from our service fees unless the applicable proposal expressly states otherwise.

9. Hosting, Domains, and Third-Party Services

Some projects may involve domain registration, website hosting, email services, SSL certificates, payment gateways, advertising platforms, APIs, software licences, or other third-party services. These services may be subject to separate terms, renewal charges, usage limits, availability conditions, and policies imposed by their respective providers. Unless expressly agreed otherwise, DWC does not control the independent operations, pricing, policies, or service availability of third-party providers.
Clients are responsible for third-party charges and renewals allocated to them under the applicable agreement. We will communicate any material responsibilities relating to services we arrange or manage for the client as part of the engagement.

10. Intellectual Property Rights

Unless otherwise agreed in writing, DWC retains ownership of its pre-existing intellectual property, including proprietary methods, reusable code, frameworks, templates, tools, processes, and technical know-how. Client ownership of project-specific deliverables will be determined by the relevant proposal or agreement and may be subject to full payment of all amounts due.
Third-party software, open-source components, stock images, fonts, plugins, and licensed materials remain subject to their respective licences. Clients must not copy, distribute, modify, resell, or commercially exploit DWC's proprietary materials without appropriate authorisation. Similarly, DWC will not knowingly use client-provided materials beyond the purposes authorised by the client, except where required by law or permitted under the applicable agreement.

11. Acceptable Use

You agree not to use our website or services to:
  • Conduct fraudulent, deceptive, or unlawful activities.
  • Violate another person's intellectual property or privacy rights.
  • Distribute malware, malicious code, or unauthorised access tools.
  • Attempt to gain unauthorised access to our systems or those of another party.
  • Interfere with website security, functionality, or availability.
  • Submit false information or impersonate another person or organisation.
  • Use our services for spam, prohibited communications, or other unlawful activities.
We may suspend access to relevant services where reasonably necessary to address suspected misuse, security risks, legal requirements, or material breaches of these terms.

12. Confidentiality

Both parties should take reasonable measures to protect confidential business, technical, financial, and operational information disclosed during an engagement. Confidential information should be used only for the purpose for which it was disclosed. This obligation does not apply to information that is lawfully public, independently developed, already lawfully known, or required to be disclosed by law.
Any specific confidentiality, non-disclosure, or data-processing agreement will apply in accordance with its terms.

13. Service Suspension and Termination

Either party may terminate a service engagement in accordance with the applicable proposal, contract, or written agreement. Where no specific termination procedure has been agreed, either party may request termination by providing written notice and allowing a reasonable opportunity to address outstanding obligations.
DWC may suspend or terminate services where reasonably necessary because of non-payment, unlawful use, material contractual breach, security risks, or circumstances that make continued performance impracticable or unlawful. Upon termination, the client remains responsible for payment for services performed, approved expenses incurred, and other amounts properly due under the applicable agreement. Any refund will be determined in accordance with our Refund Policy and the applicable contract.

14. Limitation of Liability

To the extent permitted by applicable law, DWC will not be liable for indirect, incidental, special, or consequential losses arising from the use of our website or services, including loss of profits, anticipated revenue, business opportunities, or data. DWC is not responsible for failures or interruptions attributable to third-party providers, client-controlled systems, inaccurate client information, or circumstances beyond our reasonable control.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited. Any further limitation of liability applicable to a particular project must be assessed in light of the governing agreement and applicable law.

15. Indemnification

To the extent permitted by law, you agree to be responsible for losses, claims, and reasonable costs arising from your unlawful use of our services, your material breach of these terms, or your infringement of third-party rights through materials or instructions supplied by you. This provision does not apply to the extent that a claim results from DWC's own breach, unlawful conduct, or other circumstances for which DWC is legally responsible.

16. Privacy and Personal Information

We may collect and process personal information when you contact us, request a quotation, purchase a service, submit a form, or interact with our website. Our collection and use of personal information are explained in our Privacy Policy. By using our website, you acknowledge that you have been given the opportunity to review that policy.

17. Changes to These Terms

We may update these Terms of Use from time to time to reflect changes in our services, business practices, legal obligations, or operational requirements. The updated version will be published on our website with a revised effective date. Changes will apply prospectively, subject to applicable law and existing contractual obligations.

18. Governing Law and Disputes

These Terms of Use will be governed by the laws of India, subject to applicable mandatory legal requirements. The parties will attempt to resolve disputes through good-faith discussions before pursuing formal legal remedies. Where a dispute cannot be resolved amicably, the competent courts in Kolkata, West Bengal, India, will have jurisdiction, subject to applicable law and any valid written agreement providing otherwise.
Nothing in this clause deprives a consumer of any mandatory rights or remedies available under applicable law.
